CRT-Systech Ltd. Şti. – STANDARD TERMS AND CONDITIONS OF SALE

1. General Provisions

​1.1. These Terms and Conditions (“Terms”) shall apply to all products and services provided by CRT-Systech Ltd. Şti.

​1.2. Any general terms and conditions of the Customer shall not apply unless expressly accepted in writing by CRT-Systech Ltd. Şti.

​1.3. These Terms form an integral part of the agreement together with the quotation, order form, and invoice.

2. Orders and Payment Terms

​2.1. Unless otherwise agreed in writing, all orders are subject to advance payment (prepayment).

​2.2. CRT-Systech may, at its sole discretion, grant deferred payment terms. In such cases, the applicable terms and due dates shall be clearly stated in the relevant document..

​2.3. If a different payment term is specified on the invoice, payment shall be made in accordance with such term.

3. Delay and Default

​3.1. In the event that payment is not made by the due date, the Customer shall be deemed in default without the need for further notice.

​3.2. In case of default, commercial default interest shall be applied in accordance with the Turkish Commercial Code.

​3.3. In case of delayed payments, CRT-Systech reserves the right to:

    • Suspend services,
    • Withhold deliveries,
    • Unilaterally terminate the agreement.

4. Collection and Costs

​4.1. In the event that legal action is required to collect overdue receivables, all related costs,  shall be borne by the Customer.

    • including enforcement, litigation, attorney fees, and other expenses etc.

​4.2. Partial payments shall first be applied to accrued interest and costs.

5. Taxes and Deductions

​5.1. Unless otherwise stated, all prices are exclusive of VAT.

​5.2. Any withholding taxes or similar deductions arising from international transactions shall be borne by the Customer.

​5.3. The Customer is responsible for ensuring that the full invoice amount is received by CRT-Systech without any deductions.

6. Delivery and Performance of Services

​6.1. Delivery times and service schedules are indicative and may vary due to reasonable causes.

​6.2. CRT-Systech shall perform its obligations with due care; however, no guarantee of specific results is provided (best effort basis).

​6.3. Obligations shall be suspended in cases of force majeure, including but not limited to natural disasters, war, and infrastructure failures.

7. Limitation of Liability

​7.1. CRT-Systech’s liability shall be limited to the total amount of the relevant order.

​7.2. Under no circumstances shall CRT-Systech be liable for indirect damages such as loss of profit, data loss, or business interruption.

​7.3. CRT-Systech shall not be directly liable for any relationships between the Customer and its end users.

8. Defects and Claims

​8.1. The Customer must notify any claims regarding goods or services

    • within 8 (eight) days from delivery
    • in writing

​8.2. Any defects not reported within this period shall be deemed accepted.

9. Intellectual Property

​9.1. All intellectual property rights related to software, documentation, and technical outputs remain the property of CRT-Systech.

​9.2. The Customer may not reproduce or share such materials without prior written consent.

10. Termination

​10.1. Either party may terminate the agreement in case of breach of contractual obligations by written notice.

​10.2. Payments made shall not be refunded unless otherwise agreed.

11. Governing Law and Jurisdiction

​11.1. These Terms shall be governed by the laws of the Republic of Türkiye.

​11.2. Ankara Courts and Enforcement Offices shall have exclusive jurisdiction.
